This Pre-Order Agreement (“Agreement”) governs your relationship with MICRO MOBILITY LABS LTD. (“we”, “us”, or “MML”) with respect to the reservation and prepayment of a deposit by you for MML’s products at www.ridewithconvoy.com (the ”Website”). This Agreement is entered into and effective as of the date we receive a pre-order from you.

1.1 Pre-orders. By pre-ordering through the Website, you agree to make the fully refundable deposit associated with the delivery option you have purchased by credit card or PayPal (“Deposit”). When MML receives your Deposit, your pre-order will be confirmed. You acknowledge and agree that MML may decline or delay pre-orders to avoid oversubscription or as it deems appropriate, provided that we will make reasonable efforts to inform you within a reasonable time if we are not able to accept your pre-order. You further acknowledge that the products are still in development, and therefore, (1) MML may make modifications to the products as they enter production (including changes that may result in materially different products from any prototypes or concepts shared or provided to you prior to production), and (2) MML may cancel pre-orders as it deems appropriate, including if the products are not ready for commercial release or the development of the products is significantly impacted. ‍

1.2 Confirmation and submission of open selections. MML will notify you by e-mail when the start of production nears. At the time you receive our notice (“Production Notice”), you may choose to advance to Step 2 by confirming your pre-order and submitting your option selections within fifteen (15) working days of your receipt of the Production Notice. You will pay the balance due (depending on base price plus options), together with any taxes, shipping and/or destination charges and other applicable fees upon delivery of your product(s). If you do not wish to complete Step 2, you may cancel your reservation. If we do not hear from you within fifteen (15) working days of your receipt of the Notice, then you will be deferred to a later position on the products reservation list. After that, we will try to contact you one more time, provided that - if you do not get back to us and promptly complete Step 2 - your pre-order will be forfeited. Notwithstanding anything to the contrary in this Agreement, you acknowledge and agree that your purchase of the products will not be effective until you complete the standard order process through the Website.

1.3 Delivery Schedule. MML anticipates that the delivery of the products will begin in the summer of 2026. Although we will make efforts to begin delivering products as soon as reasonably practicable in accordance with the delivery option you have selected in connection with your Deposit, you understand and agree that there may be delays. We will provide you periodical updates with respect to such delivery schedule. If for any reason you decide that you do not wish to continue to wait for your product(s), you may cancel your reservation as provided for in Section 1.5 below.

1.4 ‍Price. MML expects the base price of the C.01 Trailer to be £1,999 or €2,299 and of the C.03 Trailer to be £1,539 or €1,340, including VAT and excluding applicable fees, shipping or destination charge and options, if any (“Base Price”). We will make efforts to finalize the Base Price as soon as reasonably practicable and will provide you periodical updates. Notwithstanding the above, you understand and agree that MML reserves the right to change the Base Price, and to add, discontinue or change the packaging or pricing of available options, at any time prior to your completion of Step 2 as described above, provided that MML will continue to offer upgrades and new features for an additional price even after the completion of Step 2.

1.5 Cancellation and Refund. No Refunds after 120 days. You or MML may cancel this Agreement or your reservation by terminating this Agreement at any time for any or no reason. If you do so within one-hundred-and-twenty (120) days of your payment of the Deposit to MML, you will obtain a full refund of the Deposit without interest, less any refund processing fee. Thereafter, you will still have the right to cancel at any time prior to our notice to you that your Vehicle is ready for delivery, but you will not be entitled to any refund of the Deposit.

1.6 ‍LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES WILL MML BE HELD LIABLE FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OR RELATED TO THIS AGREEMENT. IN THE EVENT MML IS HELD LIABLE FOR ANY DAMAGES ARISING OUT OR RELATED TO THIS AGREEMENT, YOUR SOLE AND EXCLUSIVE REMEDY WILL BE THE FULL REFUND OF YOUR DEPOSIT WITHOUT INTEREST. ‍

Nothing in this Agreement shall limit or exclude our liability for : 

• death or personal injury caused by our negligence;
• fraud or fraudulent misrepresentation; or
• any matter in respect of which it would be unlawful for us to limit or exclude our liability, including your statutory rights as a consumer.

1.7 Age and Residency. You acknowledge that you are at least 18 years old, are a resident of either the United Kingdom or Germany, and will take delivery of your Products for use in the aforementioned countries.

1.8 Customer Information. MML may use and process your personal information (including, without limitation, your email address) to facilitate your placement of a pre-order. MML may also use or disclose such personal information collected for MML’s current and future business purposes, such as product development, research, and legal compliance. MML will use and process such personal information in accordance with applicable laws governing the processing of such personal information. You agree to all such collection, use, and disclosure. Notwithstanding the foregoing, MML has no obligation to retain any data or information that you may have provided to MML.

1.9 ‍DISCLAIMER. MML DISCLAIMS ANY WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE PROTOTYPE TRAILER DISPLAYED BY MML WHETHER BEFORE OR AFTER YOU HAVE ACCEPTED THIS AGREEMENT. YOU UNDERSTAND AND AGREE THAT THE PRODUCT, ITS DESIGN AND TECHNICAL FEATURES ARE CURRENTLY UNDER DEVELOPMENT AND THAT THE PRODUCTS THAT MAY BE AVAILABLE FOR PURCHASE BY YOU MAY BE MATERIALLY DIFFERENTLY FROM ANY PROTOTYPE PRODUCTS SHARED OR CONCEPTUALIZED BY MML. IF FOR ANY REASON YOU ARE UNHAPPY WITH THE FINAL VERSION OF THE PRODUCT, YOUR SOLE AND EXCLUSIVE REMEDY WILL BE TO CANCEL YOUR PRE-ORDER AS DESCRIBED IN SECTION 5 ABOVE. FURTHERMORE, YOU UNDERSTAND AND AGREE THAT THIS IS NOT A SALE, AN OFFER TO SELL OR A PURCHASE AGREEMENT TO BUY A PRODUCT, AND THAT YOUR ABILITY TO BUY A PRODUCT IS SUBJECT TO AVAILABILITY.

‍1.10 Changes to the Terms of this Agreement. MML reserves the right to change any of the Terms of this Agreement for any or no reason. We will provide notice of any material changes and, if you are unhappy with such changes, your sole and exclusive remedy will be to cancel your reservation as described in Section 5 above.

1.11 Miscellaneous Provisions. This Agreement constitutes the entire agreement between the parties pertaining to its subject matter and it supersedes all prior agreements, representations and understandings of the parties. This Agreement shall be governed by and shall be construed in accordance with the laws of the United Kingdom. The venue for any actions relating to the subject matter or enforcement of this Agreement shall be in England, and the parties irrevocably consent to the personal jurisdiction and venue therein. You may not assign this Agreement or any of the rights granted to you hereunder.

ORDERS TERMS & CONDITIONS

1. PURCHASE AND DELIVERY TERMS

1.1 These purchase and delivery terms (the ”Terms”) apply when you (the ”Customer”) order products at www.ridewithconvoy.com (the ”Website”). By placing an order for products on the Website you make a binding offer to MICRO MOBILITY LABS, LTD (“MML”, “Convoy”) (please refer to article 16 for business information and contact details) to purchase the products included in your order. A legally binding agreement governed by these Terms is concluded between you and MML when MML accepts your order by sending you an order confirmation.

1.2 You should read the Terms carefully before submitting your order on the Website. MML reserves the right to change the Terms without prior notice to the Customer by updating the Terms on the Website. Your purchase is governed by the Terms available on the Website at the time of your order.

1.3 The Website is only intended for sale to end consumers and orders to addresses in The United Kingdom (excluding Channel Islands, Isle of Man postal codes starting with JE, GY or IM and BFPO postal code starting with BF) and Germany.

1.4 When you enter into an agreement with MML, you can choose to enter into the agreement in the following languages: English, German.

2. PROCESSING OF PERSONAL DATA

MICRO MOBILITY LABS LTD., Registration No. 14839108 Registrar of Companies for England and Wales, is the controller for your personal data and will process your personal data, such as your name and email address, in accordance with current legislation (General Data Protection Regulation 2016/679 – GDPR and national laws) in all contacts with us. 3. ORDER AND CONCLUSION OF CONTRACT

3.1 After placing the products you wish to purchase in the shopping cart you will be able to move forward with your order. A summary of your order and the total amount to be paid, including shipping costs if applicable, will be shown at the end of the order process. An order is placed when you press ”Confirm”.

3.2 By placing an order you make a binding offer to MML to purchase the products included in your order. When you have placed your order, MML will confirm receipt of your order by sending you an order confirmation e-mail, detailing the contents of your order. The order confirmation e-mail is an acknowledgement that MML has received your order. The order confirmation does not constitute MML’s acceptance of your order. A legally binding agreement is concluded between you and MML when MML accepts your order by sending you a shipping confirmation e-mail, confirming to you that MML has dispatched the product(s).

3.3 Please note that it may sometimes take some time before you receive a shipping confirmation from us. Also check your spam to make sure that the shipping confirmation has not ended up there. Check that your shipping confirmation matches your order. If anything is wrong or if you have any questions, please contact sales@ridewithconvoy.com.

4. MML’S RIGHT TO REJECT AN ORDER

The fulfilment of all orders on the Website is subject to availability. To the extent this is permissible by law and depending on the reason hereof, we reserve the right to reject the whole or parts of an order by notifying you in the situations below, without being liable for any damages or costs, other than refund of the amount received from you for the cancelled order:

• the item is not available or not in stock;
• your order is flagged by our security systems as an unusual order or an order that may be related to fraud;
• your billing information is incorrect or not verifiable;
• you are under 18 years old;
• you order as a reseller;
• the price displayed on the Website is manifestly incorrect;
• we cannot deliver to the address you provided; or
• due to circumstances beyond our control (see section 15).

5. PRICES AND PRODUCT INFORMATION

5.1 All prices are stated in GBP/EUR and include applicable value added tax. Delivery cost may apply depending on the selected delivery option. The total cost of the order including delivery cost is always displayed before the order is completed.

5.2 The product images on the Website are for illustrative purposes only and are not a binding promise or exact representation of the appearance and nature of the product displayed. MML reserves the right to change any incorrect product information and prices without prior notice.

6. PAYMENT OPTIONS

Available payment options for orders on the Website are PayPal and credit card (Visa and Mastercard). Following the confirmation of your order and regardless of the method of payment, we will send you electronic records of your purchase to your e-mail address.

7. TRANSFER OF OWNERSHIP

We reserve the right of ownership of all products until we have received full payment for these.

8. DELIVERY

See detailed information about our pre-order delivery options in the “PRE-ORDER TERMS AND CONDITIONS”, section 1.3 above.

9. CANCELLATION OF ORDER BEFORE DELIVERY

You can cancel your order free of charge and without giving any reason, provided that the order has not been prepared for shipping at our warehouse. In such a case, no costs are added. If you cancel your order at a later point, it will fall under your statutory right of withdrawal (see article 10 for more details). 10. RIGHT TO WITHDRAW FROM YOUR PURCHASE

10.1 According to the consumer protection legislation, you may change your mind and withdraw from your purchase for no particular reason by:

• MML within fourteen (14) calendar days from receiving your order; and
• returning the product within 14 calendar days from the date you informed MML about your decision to exercise your right of withdrawal.

If you purchased several products that will be delivered separately, or a product consisting of several items or deliveries, the 14 calendar days start from the day you received the last item or delivery.

10.2 You are entitled to open the package and examine the product to assess whether you are satisfied with it. If you handle the product in a way which would not be acceptable in-store (for example, if you use or damage the product), MML may reduce your refund. All possible accessories must be included with the return.

If you regret your purchase, we will refund the amount you have paid, including the initial delivery cost but excluding return delivery cost within 30 calendar days from the date of receiving your notice of withdrawal, subject to the condition of either having received the returned product(s) or having received a proof of return, whichever is earlier.

10.3 In order to exercise your right of withdrawal you have to contact us by e-mail, after which we will provide instructions describing the steps you need to take to complete your return. 

10.4 Please note that a fee covering the cost for return delivery will be deducted from your refund amount when you make a return using the MML collection option. If you have chosen a type of return delivery other than the one provided by MML, no fee will be deducted from your refund. Please note that you, as a Customer, are responsible for the cost and risk of the return. Your refund will be paid via the same payment method you used to make the purchase. The initial delivery cost will not be refunded for partial returns, nor will any costs exceeding the cost of standard delivery, if you have chosen a type of delivery which is more expensive than the standard delivery.

11. STATUTORY RIGHT OF COMPLAINT

11.1 As a consumer, you always have a right to make a complaint according to the consumer protection legislation, calculated from the day you received the product. In Germany, the statutory period is two (2) years, starting from delivery. In the UK, consumers can bring a claim for up to six (6) years after purchase for a faulty product. Once you receive your order, you should immediately check that the product(s) which you have received correspond to what you ordered and that the products are free of defects. In order to exercise your statutory right of complaint in the event of a defect in the product, incorrect delivery, delay in delivery or transport damage, you have to contact MML within a reasonable time after you discovered the defect. A complaint made within two (2) months from the time you discovered the defect is always considered to have been made within a reasonable time.

11.2 Visit our FAQ section to read more about how you complain about a product or contact us via e-mail or our contact form. You can also find our contact details under article 16. Be prepared to state your order number and the reason for the complaint.

11.3 Following your contact with us, we may request that you deliver your product(s) to an appointed repair center or, if there is no repair center nearby, to an MML authorised dealer. You can also return the product to us by post. If we instruct you to deliver your product(s) to a repair center or MML authorised dealer, you can choose to either visit the repair center or authorised dealer.  

11.4 When MML has received the complained product and found that the complaint is approved, MML will reimburse you in accordance with current consumer legislation. This means that you can choose to have the defect being remedied or a new item being sent. If this is not possible, a refund may instead be made. If, on the other hand, it is found that the complaint is not approved, we will contact you for further processing. If the product is sent to us by post, please note that you bear the cost of the return when an item is returned to us. However, if your complaint is approved, we will refund the return cost and pay for the re-delivery of the remedied item or the new product, depending on which remedy you have chosen. The assessment of a complaint can take up to 14 calendar days from when we have received the product.

12. MML WARRANTY

12.1 In addition to what follows from your statutory right of complaint, MML offers its own two (2) year product warranty (“CONVOY Warranty”) and an extended warranty (“CONVOY Extended Warranty”). These guarantees do not affect your statutory rights, protected by consumer legislation.

To report a warranty claim fill out the warranty form (LINK TO WARRANTY FORM) found on the Website. Please return your product with a filled out claims form along with proof of purchase to the point of sale. Your claim will be evaluated and, in most cases, handled at the dealer. If further inspection is needed, the product will be sent to CONVOY through your dealer.

12.2 CONVOY Warranty — The CONVOY Warranty will cover any defect or damage affecting your CONVOY product and applies to all CONVOY product types.

Convoy reserves the right to:

• Repair the item flailing under the terms of the CONVOY Warranty
• Replace the item if the damage or defect cannot be repaired
• Offer a similar product of comparable value, or refund the price paid, if we cannot replace with the same model

The CONVOY Warranty does not cover defects resulting from conditions beyond our control. These include, but are not limited to, misuse, overloading, or from failure to assemble, mount or use the product or its accessory in accordance with CONVOY’s written instructions, guidelines, and safety text. Nor does it cover damage to the user’s vehicle, electronic devices, cargo, or to any other person or property.

12.3 CONVOY Extended Warranty — The CONVOY Extended Warranty applies to products and accessories produced by CONVOY and sold to the original purchaser under the brand name CONVOY. The warranty covers defects in materials or workmanship and, depending on the type of product, applies up to a certain number of years from the date of the original retail purchase.

Subject to the limitations and exclusions described in this warranty, CONVOY remedies defects in materials or workmanship during the warranty period, by repairing or replacing the defective component(s) without charge for parts or labor.

To benefit from the CONVOY Extended Warranty, you must register your CONVOY product with us within two (2) years of your purchase.

Please note the following restrictions applicable to the CONVOY Extended Warranty:

• CONVOY does not cover defects resulting from conditions beyond CONVOY's control. These include, but are not limited to, misuse, overloading, or from failure to assemble, mount or use the product or its accessory in accordance with CONVOY's written instructions, guidelines, and safety text. Nor does it cover damage to the user’s vehicle, cargo, or to any other person or property.
• During the period of the CONVOY Extended Warranty, we will not cover damages and/or defects resulting from typical wear and tear (for example brakes, tires and tubes, electrical parts, surface issues, faulty zipper tape, damaged buckles, coating peeling off and discoloration of fabrics).
• CONVOY does not cover damages resulting from abuse (such as tears, cuts, and holes in the fabric) and cosmetic damage (such as scratched or stained fabrics).
• Other damage not covered is damage caused by airlines or other transit damage (such as pressure damage; tears, cuts, and holes in the fabric; damage to the wheel covers, handles and other hardware of the bag). Damage claims in transit cases should be filed against the carrier.
• The purchaser will be responsible for the cost of returning the component(s)/product(s) and the proof of purchase back to the place where the product was purchased.

13. REFUND

If MML is to refund you for any reason the following applies. If you ordered and paid for your order with a credit card, we will refund the money to the card. If you ordered and paid by PayPal, the refund will be made via PayPal.

14. CUSTOMER’S RIGHT TO ASSISTANCE

14.1 As a consumer you are always entitled to turn directly to MML for assistance with complaints, right of withdrawal and other assistance in connection with your purchase or order. For more information about your right as a consumer please refer to Citizen’s Advice or Trading standards (United Kingdom) or European Consumer Centre Germany (Germany).

14.2 Please refer to the website of the EU Commission concerning alternative dispute resolution relating to consumers’ online purchase http://ec.europa.eu/odr.

15. CIRCUMSTANCES BEYOND MML’S CONTROL

15.1 A circumstance beyond our control means an act or an event beyond our reasonable control, including, but not limited to, strikes, lockouts or other similar acts by a third party, civilian insurrections, riots, terrorist attacks or threats of terrorist attacks, wars or threats of war, fire, explosions, pandemics, epidemics, floods, earthquakes or other natural disasters or faults in public or private telecommunications networks.

15.2 If an event beyond our control occurs that we could not reasonably have foreseen at the time of your purchase and that affects our ability to fulfil our obligations under the Terms, we will contact you as soon as possible and the time for our fulfilment of our obligations under the Terms will be extended for the duration of the event beyond our control. You have the right to cancel your order if an event beyond our control occurs and which prevents our delivery of an item to you.

17. MISCELLANEOUS

17.1 The content of the Website is copyrighted and belongs to MML. The information on the Website is including, but not limited to, stills, renders, moving pictures, animations, sounds and text and layout and must not, besides for purely private purposes or where it is expressly permitted, be copied, reproduced, altered, transferred or stored in any form whatsoever. Modifying the content of the Website is prohibited.

17.2 Logos on the Website belong to MML. It is not permitted to use MML’s trademarks or logos, in paper form, digitally or in any other medium.

17.3 The information on this Website may contain technical defects or typographical errors. Feel free to contact our customer service to report such a technical defect or a typographical error.
